All project details, timelines, and deliverables are specified and agreed upon in a contract signed by both parties before the commencement of any project. Any additional services requested beyond the original scope of the project may incur additional costs, and Codecado Digital reserves the right to charge accordingly.
2. Payment Terms
Clients are required to make an upfront payment as specified in the contract to confirm and initiate the project. The remaining balance is due upon completion of the project unless other terms are agreed upon in writing. Failure to make timely payments may result in delays, suspension, or cancellation of services, and late payments may incur additional fees as outlined in the agreement.
3. Project Timelines
Codecado Digital provides estimated project timelines based on the initial scope of the project. Timelines are subject to change due to revisions, client feedback, and the timely provision of materials required to complete the project. Delays in providing necessary feedback or information may lead to adjusted delivery dates. Codecado Digital is not responsible for any delays caused by client inaction.
4. Client Responsibilities
Clients are responsible for providing accurate information, content, and feedback promptly to enable smooth project progress. Clients are expected to review and approve design elements and other deliverables in a timely manner. Codecado Digital is not liable for delays, errors, or unsatisfactory results stemming from inaccurate or incomplete information provided by the client or delayed feedback.
5. Intellectual Property
Upon full payment, ownership of the final website, digital assets, and other deliverables transfers to the client. However, any proprietary tools, frameworks, or licensed elements used in the project remain the property of Codecado Digital or their respective owners. Codecado Digital reserves the right to showcase completed projects, including screenshots or excerpts, in our portfolio, marketing materials, and case studies unless the client specifically requests in writing that the project remains confidential.
6. Confidentiality
Codecado Digital respects the confidentiality of client information. All client data, business information, project details, and proprietary content are kept secure and will not be disclosed to third parties without prior consent. Any personal or sensitive information is handled in accordance with our privacy policy and data protection practices.
7. Limitation of Liability
Codecado Digital is not liable for any indirect, incidental, or consequential damages resulting from the use of our services, including, but not limited to, loss of data, revenue, or profits. Our liability for any claim arising from the use of our services is limited to the total cost of the project as per the signed agreement. Codecado Digital is also not responsible for any third-party issues, such as hosting outages, domain expiration, or other external service interruptions that may affect the website.
8. Modifications and Revisions
Any modifications, additional features, or extra services requested by the client after project approval may incur extra charges. Codecado Digital will provide a separate quote for any such changes, and the client will have the option to approve or decline these additions. Revisions requested within the agreed project scope are included, but extensive changes outside the initial scope will be subject to additional charges.
9. Termination Policy
Clients may terminate the project at any time by notifying Codecado Digital in writing. If the client decides to terminate, they are responsible for paying for any completed work and any applicable fees up to the termination date. Refunds, if applicable, will be processed according to the terms of the original agreement and at the discretion of Codecado Digital based on the stage and scope of completed work.
10. Governing Law
These terms and conditions are governed by the laws of the state of Odisha, India. Any disputes arising from the use of our services or these terms and conditions shall be resolved under the jurisdiction of Bhubaneswar, Odisha. By agreeing to these terms, both Codecado Digital and the client acknowledge and accept the legal framework governing these terms.
